Associates

• Associate is an independent representative of Your Digital Words.
• Associate will be subject to all terms and conditions herein
• Associate is a natural person aged 18 years or more; or
• Associate is a company, trust or incorporated association holding a current, valid business number, and the natural person lodging the application is a duly authorized officer of Associate.
• To the fullest extent permitted by Law, Your Digital Words, at its sole discretion and for any or no reason, may refuse to accept any Associate application.

1. Your Digital Words appoints Associates as an independent representative of Your Digital Words for the purposes of (but under no obligation to do so): introducing new retail customers to Your Digital Words, via Your Digital Words product website and introducing potential new independent Associates to Your Digital Words, via Your Digital Words public website
2. Associate is an independent contractor and is not an employee of  Your Digital Words. Agent shall not hold himself/herself/itself out as an agent of Your Digital Words for any purpose other than those outlined in clause 1.
3. Associate has no power or authority to incur any debt, obligation or liability on behalf of Your Digital Words.
4. Associate shall pay all costs and expenses incurred by him/her in promotion of his/her Your Digital Words business.
5. Associate indemnifies Your Digital Words against all actions or liabilities arising out of or in any way relating to Associates' activities.
6. Agent shall not promote or sell any products or organizations, which compete with Your Digital Words or with Your Digital Words products without the prior written consent of Your Digital Words.
7. Associate shall not make any claims or  representations in relation to Your Digital Words or any associated matter other than the representations provided in writing by Your Digital Words.
9. Associate acknowledges that the instructional material provided by Your Digital Words relates to suggested business methods only and that Associate is not obliged to implement those business methods.
10. Associate will provide accurate and complete registration information at registration time and keep that information up to date at all times, using a facility to be provided on the members website.
14. Associate shall not apply for more than one Independent Associate position with Your Digital Words.
15. Associates have access to product and services immediately upon subscription.  There will be no refunds of subscriptions given.
16. Your Digital Words will provide Associate with a personalized hyperlink to the public website to identify potential new independent agents introduced to Your Digital Words
17. New independent associates who register via Associates’ personalized hyperlink to the public site will be allocated directly into said Associate's Network.
18. New independent agents who register via the corporate public site without using any independent agent's personalized hyperlink will be allocated positions
automatically using a balanced fill algorithm across the entire matrix of independent associates.
19 Commissions and bonuses will be credited to Associate's commission account bi-weekly. Commissions and bonuses are only payable on a balance of at least $5 USD.  All other commissions are held in escrow until the balance exceeds $5 USD.
20. Associate may use the name “Your Digital Words” in advertising and promotional material and may be called an authorized distributor of Your Digital Words' products.
21. The form and content of all advertising and promotional activities and materials intended to be undertaken by Associates must first be approved by Your Digital Words.
22 Associate agrees to receive promotional emails from Your Digital Words (and/or any related entities).
23 Associate may not under any circumstances promote Your Digital Words or Your Digital Words' products through the use of unsolicited bulk email (spam).

24. Associate must at all times comply with all Laws & regulatory regimes in force where Associate is domiciled. Associate indemnified Your Digital Words against any liability arising from Associate's breach of any such Law or regulation in any jurisdiction.
25. Your Digital Words may vary policy & procedure at any time, upon notification by email to the email address most recently entered in Associate's profile on the members website.
-Notices Your Digital Words sends by email will be deemed to be received on the business day after they are sent. If Associate elects not to agree to any variation to policy & procedure so notified, Associate must terminate membership immediately.
26.. Associate may terminate membership at any time by sending notice by email to
contact@yourdigitalwords.com . Notices Associate sends by email will be deemed to be received at the time at which the message completes successful processing on the primary mail exchanger for the yourdigitalwords.com domain. Your Digital Words must notify Associate that such termination has been effected within 5 business days of receipt of Associate's notice.
27. Your Digital Words reserves the right to terminate membership at any time for good cause.
Termination may be caused for reasons including but not limited to: a breach of policy; falsifying information; failure to maintain current, accurate contact information; abuse; spamming, fraud or 3 consecutive non-payment of subscriptions. Any such termination shall be at the sole discretion of Your Digital Words and shall be final.

• To the maximum extent permitted by Law, neither Your Digital Words nor any of its agents, subsidiaries, service providers, licensors, directors or employees shall be liable for any direct, indirect, incidental, special or consequential damages arising out of or in relation to Your Digital Words.
• To prevent unauthorized access, maintain data accuracy, and ensure the correct use of information, Your Digital Words uses appropriate best-practice processes and tools to safeguard the confidentiality of Associate's personal information. However, no data transmitted over the Internet can be 100% secure. As a result, while Your Digital Words strives to protect Agent's personal information, Your Digital Words cannot guarantee the security of any information that Agent transmits or receives to or from Your Digital Words or any participating advertiser or merchant, and Associate does so solely at Associate's own risk.
